1. Introduction
These Terms & Conditions govern the use of this website and all business transactions between Matrix Intech (“Company”, “we”, “our”, “us”) and its business customers (“Client”, “Buyer”).
By submitting an inquiry, requesting a quotation, placing an order, or engaging in business with us, you agree to these Terms.
2. Business Nature (B2B Only)
Matrix Intech operates strictly as a Business-to-Business (B2B) manufacturer specializing in:
- Footballs
- Goalkeeper Gloves
- Boxing Equipment
- Sportswear & Activewear
We do not operate as a retail seller unless agreed in writing.
3. Quotations
All quotations are non-binding and valid for 15–30 days unless stated otherwise.
Prices may change due to raw material cost fluctuations, currency exchange rates, or specification changes.
Shipping, duties, and taxes are excluded unless explicitly mentioned.
Minimum Order Quantities (MOQ) apply.
4. Orders & Contract Formation
A binding contract is formed only when:
1. The Client confirms the Proforma Invoice (PI), and
2. The agreed advance payment is received.
We reserve the right to refuse any order at our discretion.
5. Payment Terms
Payment terms are agreed prior to production (e.g., Advance + Balance before shipment or LC).
International transfers must be free of bank charges for the beneficiary.
Production and shipment may be delayed if payments are not received on time.
Ownership of goods remains with Matrix Intech until full payment is received.
6. Production & Lead Times
Production timelines depend on order quantity and product complexity.
Estimated delivery dates are indicative, not guaranteed.
Delays caused by force majeure events (natural disasters, strikes, war, government restrictions, customs delays, pandemics) are not considered breach of contract.
7. Intellectual Property Rights
All trademarks, logos, and artwork supplied by the Client remain the property of the Client.
The Client confirms they have legal rights to use submitted designs.
Matrix Intech is not responsible for intellectual property disputes arising from Client-provided designs.
We will not reproduce Client designs without authorization.
8. Product Specifications & Custom Orders
All products are manufactured according to approved samples or confirmed specifications.
Minor variations in color, stitching, or materials may occur due to manufacturing tolerances.
Custom-made products are non-returnable unless defective.
9. Inspection & Claims
The Client must inspect goods upon receipt.
Any quality claim must be submitted within 7 days of delivery.
Claims must include photographic and written evidence.
Our liability is limited to replacement, repair, or mutually agreed compensation.
We are not liable for indirect or consequential business losses.
10. Shipping & Risk Transfer
Risk transfers according to the agreed Incoterms (e.g., FOB, CIF, EXW).
We are not responsible for delays caused by freight forwarders, customs authorities, or third-party carriers.
11. Limitation of Liability
To the maximum extent permitted by law:
Our total liability shall not exceed the total invoice value of the affected goods.
We are not liable for loss of profits, business interruption, or indirect damages.
12. Compliance & Ethical Standards
Matrix Intech operates in accordance with applicable export regulations and ethical business standards.
Where required, we cooperate with clients regarding compliance documentation.
13. Data Protection (GDPR Reference)
Personal data collected during business transactions is processed in accordance with our Privacy Policy and applicable data protection laws including GDPR where applicable.
14. Governing Law & Jurisdiction
These Terms & Conditions shall be governed by and interpreted in accordance with the laws of Pakistan.
Any disputes shall be subject to the jurisdiction of the competent courts in Pakistan unless otherwise agreed in writing.
15. Amendments
We reserve the right to update or modify these Terms & Conditions at any time. Updated versions will be published on our website.
