1. Introduction<\/h2>\n

These Terms & Conditions govern the use of this website and all business transactions between Matrix Intech (\u201cCompany\u201d, \u201cwe\u201d, \u201cour\u201d, \u201cus\u201d) and its business customers (\u201cClient\u201d, \u201cBuyer\u201d).<\/p>\n

By submitting an inquiry, requesting a quotation, placing an order, or engaging in business with us, you agree to these Terms.<\/p>\n

2. Business Nature (B2B Only)<\/h2>\n

Matrix Intech operates strictly as a Business-to-Business (B2B) manufacturer specializing in:<\/p>\n

  • Boxing Equipment<\/li>\n
  • Sportswear & Activewear<\/li>\n<\/ul>\n

    We do not operate as a retail seller unless agreed in writing.<\/p>\n

    3. Quotations<\/h2>\n

    All quotations are non-binding and valid for 15\u201330 days unless stated otherwise.<\/p>\n

    Prices may change due to raw material cost fluctuations, currency exchange rates, or specification changes.<\/p>\n

    Shipping, duties, and taxes are excluded unless explicitly mentioned.<\/p>\n

    Minimum Order Quantities (MOQ) apply.<\/p>\n

    4. Orders & Contract Formation<\/h2>\n

    A binding contract is formed only when:<\/p>\n

    1. The Client confirms the Proforma Invoice (PI), and<\/p>\n

    2. The agreed advance payment is received.<\/p>\n

    We reserve the right to refuse any order at our discretion.<\/p>\n

    5. Payment Terms<\/h2>\n

    Payment terms are agreed prior to production (e.g., Advance + Balance before shipment or LC).<\/p>\n

    International transfers must be free of bank charges for the beneficiary.<\/p>\n

    Production and shipment may be delayed if payments are not received on time.<\/p>\n

    Ownership of goods remains with Matrix Intech until full payment is received.<\/p>\n

    6. Production & Lead Times<\/h2>\n

    Production timelines depend on order quantity and product complexity.<\/p>\n

    Estimated delivery dates are indicative, not guaranteed.<\/p>\n

    Delays caused by force majeure events (natural disasters, strikes, war, government restrictions, customs delays, pandemics) are not considered breach of contract.<\/p>\n

    7. Intellectual Property Rights<\/h2>\n

    All trademarks, logos, and artwork supplied by the Client remain the property of the Client.<\/p>\n

    The Client confirms they have legal rights to use submitted designs.<\/p>\n

    Matrix Intech is not responsible for intellectual property disputes arising from Client-provided designs.<\/p>\n

    We will not reproduce Client designs without authorization.<\/p>\n

    8. Product Specifications & Custom Orders<\/h2>\n

    All products are manufactured according to approved samples or confirmed specifications.<\/p>\n

    Minor variations in color, stitching, or materials may occur due to manufacturing tolerances.<\/p>\n

    Custom-made products are non-returnable unless defective.<\/p>\n

    9. Inspection & Claims<\/h2>\n

    The Client must inspect goods upon receipt.<\/p>\n

    Any quality claim must be submitted within 7 days of delivery.<\/p>\n

    Claims must include photographic and written evidence.<\/p>\n

    Our liability is limited to replacement, repair, or mutually agreed compensation.<\/p>\n

    We are not liable for indirect or consequential business losses.<\/p>\n

    10. Shipping & Risk Transfer<\/h2>\n

    Risk transfers according to the agreed Incoterms (e.g., FOB, CIF, EXW).<\/p>\n

    We are not responsible for delays caused by freight forwarders, customs authorities, or third-party carriers.<\/p>\n

    11. Limitation of Liability<\/h2>\n

    To the maximum extent permitted by law:<\/p>\n

    Our total liability shall not exceed the total invoice value of the affected goods.<\/p>\n

    We are not liable for loss of profits, business interruption, or indirect damages.<\/p>\n

    12. Compliance & Ethical Standards<\/h2>\n

    Matrix Intech operates in accordance with applicable export regulations and ethical business standards.<\/p>\n

    Where required, we cooperate with clients regarding compliance documentation.<\/p>\n

    13. Data Protection (GDPR Reference)<\/h2>\n

    Personal data collected during business transactions is processed in accordance with our Privacy Policy and applicable data protection laws including GDPR where applicable.<\/p>\n

    14. Governing Law & Jurisdiction<\/h2>\n

    These Terms & Conditions shall be governed by and interpreted in accordance with the laws of Pakistan.<\/p>\n

    Any disputes shall be subject to the jurisdiction of the competent courts in Pakistan unless otherwise agreed in writing.<\/p>\n

    15. Amendments<\/h2>\n
